• Towfiq H. Chinoy
Mr. Towfiq Habib Chinoy has been associated with the Group since 1964. He is currently the MD and CEO ofInternataional Steels Limited. He is presently holding the charge of non executive Chairman of New Jubliee Insurance Company, Pacakages Ltd. and HBL Asset Management Ltd. He holds directorship of , IGI Investment Bank Ltd. He is also Governor of Indus Valley School of Art and Architecture, Trustee of Mohatta Palace Gallery Trust and Habib University Foundation. Mr. Chinoy has served as the Member of the Engineering Development Board, Government of Pakistan, the Advisory Board of Ports and Shipping Sector, Ministry of Communications, Director on Board of Port Qasim Authority and National Refinery Ltd. He has held various appointments at the Aga Khan Economic Planning Board and Sultan Mohammad Shah Aga Khan III Foundation School, Karachi.
• Mustapha A. Chinoy
Mr. Mustapha A. Chinoy is a B.Sc in Economics from Wharton School of Finance, University of Pennsylvania, USA with majors in Industrial Management and Marketing. Upon return from United States he took up the position of Marketing Manager at International Industries. He is current the Chief Executive of Intermark (Private) Ltd. He is presently director on the Board of Pakistan Cables Ltd. and Chairman of Security Papers Ltd. He is also the Honorary Consul General of Greece in Pakistan.
• Kamal A. Chinoy
Mr. Kamal A. Chinoy is the C.E.O. of Pakistan Cables. He is a B.Sc. in Economics from Wharton School, University of Pennsylvania, USA a certified Director from the Pakistan Institute of Corporate Governance. After an internship with Banque Rothschild in Paris he worked in London and UAE, returning to Pakistan in 1980. He is Honorary Consul General of Cyprus. Mr. Kamal Chinoy is a member of the executive committee of the International Chamber of Commerce (ICC), Pakistan. He has served as the Chairman of the Aga Khan Foundation (Pakistan), NGO Resource Centre and Aga Khan University Foundation (Pakistan) and also as a Director of Pakistan Centre of Philanthropy, an institution engaged in promotion of indigenous philanthropy in Pakistan.
Family Council Charter
A. Establishment
The trustees of ASC Foundation hereby agrees and establishes the Family Council of the board with all the powers and duties set forth in these regulations and subsequent resolutions of the board.
B. Composition
The Council shall consist of three members. Youngest Member will act as Secretary to the Family Council.
C. Duties and Powers
The Council has the following duties:
a) Ensure implementation of development needs for new members of the family council and a program of continuing director development as needed.
b) Develop a process for evaluating the Trustees effectiveness.
c) Prepare the criteria and procedure for nominating and selecting Trustees / MC members.
d) Assess, at least once in 3 years, the size and composition of the board of trustees
e) Assess, once a year, the performance of individual board members.
f) Make proposals for the re-election and if required, the appointment of replacement members.
g) To control the operations of the ASC Foundation as stated in the charter and memorandum of Association.
D. Meetings
a) Frequency
The Council shall meet as often as required for a proper functioning of the Council, but at least every quarter. If possible, the meetings shall be scheduled every month in advance. The Council shall meet earlier if this is deemed necessary by the Chairman of the Council or by any member of the Council.
b) Notice Meetings of the Council shall be called by any member of Family Council
c) Attendance by Non‐Members
The Council may also invite any independent experts to attend meetings to the Council.
d) Minutes
Minutes must be drawn up for every meeting of the Council within 14 days of the meeting. The minutes will be signed by the Chairman of the Council.
e) Reports to the Board
If needed, the Chairman of the Council shall provide the board with any further information it required. Board members shall have access to all records of the Council.
